Terms of Service

These Terms of Service (“Terms”) govern your use of the products and services provided by Team KRM EOOD (“we”, “us”) under the SP Essentials brand.

Note: This is a starter draft. You should have it reviewed by qualified legal counsel before publishing, especially for SaaS license terms, liability caps, and the specific commercial arrangements you want to establish.

1. Acceptance

By licensing or using our products, you agree to these Terms on behalf of yourself and the organisation you represent. If you don’t agree, don’t use the products.

2. License grant

Subject to your payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, non-transferable, time-limited licence to install and use the products within a single Microsoft 365 tenant identified by tenant ID, for the number of users specified by your tier.

You may not:

  • Install the products in tenants other than the one your licence identifies.
  • Reverse-engineer, decompile, or attempt to derive source code beyond what’s permitted by EU law.
  • Resell, sublicence, or redistribute the products.
  • Remove or alter licence keys, validation calls, or copyright notices.

3. Fees and payment

Fees are as published on our website or as specified in a custom quote. Fees are exclusive of VAT, which is added where applicable. We invoice monthly or annually depending on your choice; payment is due within 30 days of invoice.

Late payment may result in your licence being suspended. We provide at least 14 days’ notice before suspension.

4. Support

We provide support via email at [email protected]. Standard support response time is one business day, Europe/Sofia hours. Higher tiers may include faster response times as specified at the time of purchase.

5. Updates and maintenance

We provide updates and bug fixes at our discretion. We may discontinue features with at least 90 days’ notice to active licensees. We don’t guarantee specific feature availability over the licence term.

6. Data and privacy

Our handling of personal information is described in our Privacy Policy. The products validate licences against our servers, transmitting your tenant ID, product ID, and web part version. No content of your SharePoint pages is transmitted to us.

7. Term and termination

Licences run for the term specified at purchase (monthly or annual). Either party may terminate for material breach if not cured within 30 days of written notice. Termination doesn’t entitle you to a refund of fees paid for the current term, except as required by EU consumer law (which typically doesn’t apply to B2B contracts).

On termination, you must remove the products from your tenant within 30 days. Licence keys cease to validate.

8. Warranty disclaimer

The products are provided “as is” and “as available.” To the maximum extent permitted by Bulgarian and EU law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

This does not affect any non-excludable statutory rights you may have as a consumer under Bulgarian or EU law — though B2B customers typically don’t have such rights.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

This limitation does not apply to liability for gross negligence, wilful misconduct, or any other liability that cannot be limited under Bulgarian law.

10. Governing law

These Terms are governed by the laws of Bulgaria. Any dispute that cannot be resolved through good-faith negotiation will be submitted to the competent courts of Sofia.

11. Changes to these Terms

We may update these Terms. Material changes will be notified to licensed customers by email at least 30 days in advance. Continued use after a change constitutes acceptance.
